Terms of Service

1. Agreeing to these terms

These Terms of Service ("Terms") are an agreement between you and Roaminder ("Roaminder", "we", "us"). They cover the Roaminder apps for Android, iOS, Wear OS and Apple Watch, the Roaminder widgets, and roaminder.com, including the web pages for shared lists, recipes and experiences. Together these are "the Service".

By installing or using the Service you agree to these Terms and to the Privacy Policy, which explains what we collect and why. If you do not agree, do not use the Service.

2. What Roaminder is

Roaminder is a shopping list and reminder app. It works out what kind of store sells each item on your list, and uses your phone's location to remind you when you are near one. It also includes:

• shared and family lists;
• recipes and Cook Mode;
• Roami, a voice assistant;
• the 8-Ball, which suggests things to do;
• companion apps for watches.

Roaminder is offered in the United States only. Store data outside the United States is not provided.

3. Who may use it

You must be at least 13 years old to use the Service. If you are under 18, you should have a parent's or guardian's permission. By using the Service, you confirm that you meet these requirements.

4. Accounts

An account is optional; the app works without one. If you create one:

• Sign-in is by a one-time code emailed to you. There is no password. Anyone who can read your email can sign in as you, so keep your email account secure. You are responsible for what happens under your account.
• Give a real first name and last initial. Other people see them on shared lists. Do not impersonate anyone.
• You can delete your account at any time from Settings › Account. The Privacy Policy lists what deletion removes, and what stays with other people because it is part of their records.

5. Your content

"Your content" means everything you put into the Service, including:

• list items, notes and prices;
• photos, recipes and messages;
• the names you give things;
• anything you add to a shared or family list.

The rules for your content:

• You own your content. We claim no ownership of it.
• You give us permission to use it only to run the Service for you. That means storing it, processing it (including with the AI features), and showing it to you and to the people you share it with. This permission is worldwide and free. It lasts while your content is on the Service, plus the backup period in the Privacy Policy. It does not let us sell your content, use it for advertising, or train AI models on it.
• You are responsible for your content. You must have the right to share what you share. In particular, only upload photos you took or may use, and only share a recipe if you may share it.
• Anonymous improvements. When a word you typed is not in our dictionary, the word alone, with nothing identifying you, can be reviewed and added for everyone. The same applies to a product correction you make on a scanned barcode. By making these corrections you agree that we may use them this way.
• Feedback. If you send us ideas or suggestions, we may use them without owing you anything.

6. Shared lists and family

• Anyone with a shared list's link can open it, with or without an account. Treat the link like the list itself, and send it only to people you want to have it.
• We do not verify identities. A name on a list is what that person typed or chose.
• The list's owner decides who may add items, and may remove people. Family organizers manage the family's members. If the last organizer leaves, another member becomes organizer. When the last member leaves, the family is disbanded.
• Shared lists expire. A list with no activity for 30 days becomes read-only, and it is deleted 30 days after that. Family lists do not expire while the family exists.
• Be decent. Do not use a shared list, note, photo or name to harass, threaten or deceive anyone, or to share anything illegal or sexually explicit. We may remove content, or a person, that breaks this rule.

7. Using the Service safely

Do not use your phone while driving. Alerts are designed to be glanced at, not read at the wheel. Pull over or let a passenger handle them. You are responsible for obeying traffic laws and paying attention to your surroundings.

Alerts are not guaranteed. They depend on your phone's location services, battery settings, network, operating system and the permissions you grant, and on store data that can be out of date. An alert can arrive late, at the wrong store, or not at all. Do not rely on Roaminder for anything where a missed reminder could cause harm, such as medication, medical appointments, childcare or legal deadlines.

Store data can be wrong. Store locations, names, hours and categories come largely from OpenStreetMap and similar sources, and are refreshed regularly but not continuously. A store may have closed, moved, or never carried what you need. Roaminder suggests which kinds of stores usually carry an item. It knows nothing about any store's actual stock or prices.

AI can be wrong. The AI features read your entries, photos and voice, and answer Roami's questions. They also turn web pages into recipes, estimate nutrition and suggest experiences. They make mistakes, sometimes confidently. Check anything that matters.

Food and health. Recipes, nutrition estimates, cooking times and ingredient lists are for convenience, not safety. They may be inaccurate or incomplete, and they are not medical or dietary advice. If you have allergies, a medical condition or dietary restrictions, check every ingredient and label yourself. Follow safe food-handling practices, and cook food to safe temperatures regardless of what a recipe says.

Experiences. The 8-Ball's suggestions are ideas, not recommendations or endorsements. A place it names may be closed, unsafe, unsuitable for you, or no longer exist. Check before you go, and use your own judgment about safety, cost and legality. Obey local laws and the rules of any place you visit.

Age-restricted items. Roaminder may list alcohol, tobacco and similar items like any other item. It does not sell them and does not check your age. Buying them is between you and the store, under the law where you are.

8. Ads, affiliate links and other services

• Advertising. The Service shows a small number of ads from Google AdMob, as the Privacy Policy describes. Ads are provided by advertisers, and we do not endorse what they advertise.
• Affiliate links. Some "Find on Amazon" links carry our affiliate tag. If you buy through one, Amazon may pay Roaminder a commission, at no extra cost to you. As an Amazon Associate, Roaminder earns from qualifying purchases.
• Other services. Roaminder links to or opens services it does not run, such as Google Maps, Apple Maps, Amazon, store websites and recipe sites. Your use of those is governed by their own terms, and we are not responsible for them.
• App stores. If you got the app from Apple's App Store or Google Play, their terms also apply to your use of it. Section 17 has additional terms for Apple devices.

9. What you may not do

You agree not to:

• use the Service for anything illegal, or to help anyone else break the law;
• harass, threaten, impersonate or deceive anyone through the Service;
• upload anything you do not have the right to share, or anything illegal, sexually explicit, or containing someone else's private information;
• access or try to access the Service by automated means (bots, scrapers, scripts) or other than through the apps and web pages we provide;
• extract, reuse or resell our store data, dictionary or other data in bulk;
• interfere with the Service, overload it, probe or test it for weaknesses, or get around any limit or security measure;
• copy, modify, reverse engineer or decompile the apps, except where the law expressly allows it despite this restriction;
• sell, rent, sublicense or redistribute the Service or any part of it.

10. Our intellectual property

The Service and everything in it that is not your content belongs to Roaminder or its licensors and is protected by law. This includes the software, design, Roami and her artwork and voice, the name and logos, and our dictionary and categories. We give you a personal, non-transferable, non-exclusive, revocable license to use the apps on devices you own or control, for your own non-commercial use, under these Terms.

Store data includes data from OpenStreetMap contributors, available under the Open Database License (openstreetmap.org/copyright). Product data may include data from Open Food Facts and related projects, under their open licenses.

If you believe something on the Service infringes your copyright, email info@roaminder.com with:

• what the work is;
• where it appears on the Service;
• your contact details;
• a statement that you believe in good faith the use is not authorized.

We will remove material that infringes.

11. Changes to the Service

Roaminder is actively developed. We may add, change or remove features at any time, including features you use. We will try to give notice in the app before removing something significant, but we cannot promise to.

The Service is free. If we ever introduce a paid feature, we will describe it and its price clearly before you can buy it, and nothing that is free today will start charging you without your agreement.

12. Ending your use

You can stop using the Service at any time, and delete your account from Settings.

We may suspend or end your access, remove your content, or delete your account if:

• you break these Terms;
• your use harms other users, us or anyone else;
• the law requires us to.

Where it is reasonable and lawful, we will tell you why. If we stop offering the Service entirely, we will try to give at least 30 days' notice in the app.

Sections 5 (your content, for what was shared before), 7, 10, 13, 14, 15 and 16 continue to apply after your use ends.

13. Disclaimers

The Service is provided "as is" and "as available". To the fullest extent the law allows, Roaminder disclaims all warranties, express or implied. That includes warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and uninterrupted or error-free operation.

We do not warrant that:

• any store carries any product;
• store data, alerts or AI answers are accurate, complete or on time;
• the Service will be available at any particular time.

Some places do not allow warranties to be disclaimed, so some of this may not apply to you.

14. Limitation of liability

To the fullest extent the law allows, Roaminder will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages. Nor will it be liable for lost profits, data, goodwill, or wasted time or travel. This applies even if we were told such damages were possible.

Roaminder's total liability for all claims relating to the Service is limited to the greater of:

• the amount you paid us in the 12 months before the claim, or
• US $50.

Some places do not allow these limits, so they apply to you only as far as the law permits. Nothing in these Terms limits liability that cannot be limited by law, such as for fraud or for death or personal injury caused by negligence.

15. Indemnity

If someone brings a claim against Roaminder because of your content, your breach of these Terms, or your violation of anyone's rights or the law, you agree to cover Roaminder's reasonable costs and losses from that claim. That includes reasonable legal fees. This applies to the extent the law allows.

16. Disputes and governing law

These Terms are governed by the laws of the State of Nevada, United States, without regard to conflict-of-law rules. Before bringing a claim, please email info@roaminder.com and give us 30 days to try to resolve it informally; most problems can be fixed that way.

Any claim that is not resolved informally must be brought in the state or federal courts located in Nevada, and you and Roaminder both consent to their jurisdiction. Either of us may instead bring an individual claim in small-claims court where it qualifies. Claims must be brought individually, not as part of a class or representative action, to the extent the law allows.

17. Additional terms for Apple devices

If you use the app on an iPhone, iPad or Apple Watch:

• These Terms are between you and Roaminder, not Apple. Roaminder, not Apple, is responsible for the app and its content.
• Your license to use the app is limited to Apple-branded devices you own or control, as the App Store's Usage Rules allow.
• Apple has no obligation to provide maintenance or support for the app.
• If the app fails to meet a warranty that applies to it, you may notify Apple, and Apple will refund the purchase price, if any. To the extent the law allows, Apple has no other warranty obligation for the app.
• Roaminder, not Apple, is responsible for any claims relating to the app, including product-liability claims, claims that it fails to meet legal or regulatory requirements, and consumer-protection claims.
• If anyone claims the app infringes their intellectual property, Roaminder, not Apple, is responsible for investigating, defending, settling and resolving it.
• You confirm that you are not located in a country subject to a US government embargo, or designated as a "terrorist supporting" country, and are not on any US government list of prohibited or restricted parties.
• Apple and its subsidiaries are third-party beneficiaries of these Terms, and may enforce them against you.

18. General

• Changes to these Terms. We may update these Terms, and the date at the top shows the latest version. We will tell you in the app before a material change takes effect. Continuing to use the Service after that means you accept the new Terms. If you do not accept them, stop using the Service and delete your account.
• Entire agreement. These Terms and the Privacy Policy are the whole agreement between you and Roaminder about the Service.
• Severability. If any part of these Terms is found unenforceable, the rest stays in effect, and that part is enforced as far as it can be.
• No waiver. If we do not enforce part of these Terms at some point, we can still enforce it later.
• Assignment. You may not transfer these Terms to anyone else. We may transfer them as part of a sale, merger or reorganization of Roaminder.
• Notices. We give notices in the app, or by email if you have an account. You can reach us at info@roaminder.com.
